These Terms of Service govern your use of PayFlow Systems (PayFlow Systems Limited) and its services. By accessing and using our website and services, you agree to be bound by these terms. If you do not agree with any part of these terms, you must discontinue use of our services immediately. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes. Scope of Services

We provide automated payroll batch processing and scheduled salary disbursement solutions designed specifically for businesses in Vancouver and surrounding regions. Our platform streamlines payroll operations by enabling businesses to process multiple payroll cycles efficiently, automate salary distributions to employee accounts, and maintain detailed records of all transactions. We serve as a technology platform to facilitate payroll management, and our services are intended for legitimate business payroll purposes only. All services are provided on an as-is basis subject to the terms outlined in this agreement.

User Obligations

You agree to use our services only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of our services. You must not use our platform for unauthorized payroll processing, fraud, or any illegal activities. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when registering for our services. Any misuse of our platform or violation of these terms may result in immediate suspension or termination of your account without refund.

Intellectual Property

All content, features, and functionality of our services, including but not limited to software, code, design, and documentation, are the exclusive property of our company or our content suppliers and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or transmit any content without our prior written permission. Your use of our services grants you a limited, non-exclusive, non-transferable license to access and use our platform solely for your authorized business payroll purposes. You retain ownership of any data you provide to us, but grant us the right to use and process that data to deliver our services.

Limitations and Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, including loss of data, business interruption, or financial loss. Our total liability for any claim arising from these terms or your use of our services shall not exceed the amount you paid for our services in the twelve months preceding the claim. We do not warrant that our services will be uninterrupted, error-free, or completely secure. While we implement reasonable security measures, we cannot guarantee absolute protection against all threats. You acknowledge that you use our services at your own risk.

Termination

We reserve the right to suspend or terminate your account and access to our services at any time, with or without cause, and with or without notice. Termination may occur if you violate these terms, engage in fraudulent activity, or use our services for illegal purposes. Upon termination, your right to access our services ceases immediately. We will make reasonable efforts to provide you with your data upon request, subject to any legal holds or obligations. Sections of these terms that by their nature should survive termination, including Intellectual Property and Limitations of Liability, shall remain in effect after termination.

Governing Law

These Terms of Service and your use of our services are governed by and construed in accordance with the laws of Canada, specifically the Province of British Columbia, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for the resolution of any disputes arising from these terms or your use of our services. Any legal action or proceeding must be initiated within one year of the date the claim arose, or it shall be forever barred.
